Many deals involve some form of financing. Whether the deal funds are made available through a commercial lender, by seller-financing or some combination, we help our clients negotiate the terms for the loan. This includes the terms of any notes, as well as what portion of a business’s assets (or equity) will serve as collateral for the loan. We help your company understand the terms of the loan and ensure there are adequate protections in place for the term of the loan.
A representation of our broad transactional work includes:
- Pre-closing reorganizations, restructures of target companies and assisting target companies in preparing for the sale
- Coordinating board, shareholder, and third-party approvals and consents required to consummate the transaction
- Negotiating and drafting a host of deal-related agreements, including confidentiality agreements, letters of intent, offers to purchase, share and asset purchase and sale agreements, escrow agreements, assignment agreements, loan agreements, consulting agreements, indemnity agreements, personal guarantees, and other transaction-related commercial agreements
